Design Squad Nation's "Penny Bridge" Contest

Official Rules To enter this Contest, you must agree to and abide by these Official Rules. NO PURCHASE OR DONATION NECESSARY TO ENTER OR WIN. You must have the permission, and an active e-mail account, of your parent or guardian to enter this Contest and to participate. Many will enter, few will win.

1. CONTEST DESCRIPTION:

The Design Squad Nation's "Penny Bridge" Contest (the "Contest") begins on August 6, 2012 at 12PM EST, and ends on September 3, 2012 at 12PM EST (the "Entry Period"). The Contest is open to all eligible entrants who follow the entry procedures set forth below. It provides children, ages 4 to 17, the opportunity to enter a Contest if he or she designs and builds a bridge made entirely from pennies and submits the Entry as further defined below.

2. SPONSOR:

The Contest is sponsored by the WGBH Educational Foundation, One Guest Street, Boston, MA 02135 ("WGBH"). By entering the Contest, each entrant ("Entrant") and his/her parent or legal guardian (referred to hereafter as "Guardian") unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of WGBH, which shall be final and binding in all respects.

3. ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR WIN:

The Design Squad Nation "Penny Bridge" Contest (the "Contest") is void where prohibited or restricted by law. The Contest is open to legal residents 17 years of age and younger as of the entry date (the "Entrant") of the fifty United States (except Arizona) and the District of Columbia. Each Entrant must include with his or her entry submission the name and valid e-mail address of his or her, Guardian (the "Entrant's Guardian"), who at the time of entry is at least eighteen (18) years of age (or the age of majority in the jurisdiction of their residence, whichever is older), and who has given Entrant permission to enter the Contest. Each Entrant will be required to provide parental consent in a form satisfactory to WGBH before he or she can be declared the winner and any prize associated therewith can be awarded. Any entry information provided by Entrants under thirteen (13) years of age will be used solely for the purposes of the Contest in accordance with the requirements of the Children's Online Privacy Protection Act ("COPPA"). The Contest is not open to employees, officers, directors, trustees, and household members of such individuals, of WGBH, the Public Broadcasting Service (PBS), PBS member television stations, or their respective affiliates, and subsidiaries. "Household members" shall mean people who share the same residence at least three consecutive months a year, whether related or not. By participating in the Contest, each Entrant (and his or Guardian) is hereby deemed to agree to these Official Rules and all eligibility requirements and guidelines listed below.

4. HOW TO ENTER:

(a) The Contest challenges an individual 17 years of age and under to design and build a bridge (a structure that spans two points) made entirely from pennies. No other materials besides pennies can be used. It can be built on any surface, such as a table, but no other materials can be used to support your penny bridge.
(b) The Entrant must create a log in at pbskids.org at (http://www.pbskidsgo.org/designsquad), and then follow instructions to fill in the online form and/or upload a picture/drawing, as more particularly described below.
(c) The Entrant must also complete an online submission form on the Design Squad Nation site (http://www.pbskidsgo.org/designsquad)(the "Online Submission Form"). The Online Submission Form will consist of the following information:
(i) the Entrant's first name, age, state of residence, gender, and a the legal name of and valid e-mail address of a parent or guardian;
(ii) a short description of Entrant's bridge;
(iii) An original drawing or photograph, or the like of Entrant's bridge ("Graphic Material"). The Graphic Material can only be accepted in .jpg, or .png, formats. Graphic Material cannot picture or depict any person, or the trademark, trade dress, or product of any third party. There is a limit of one (1) piece of Graphic Material per Entry. Graphic Material must be original – and may not simply be existing clip-art/off the rack designs, or cut & paste templates.
The Graphic Material and Online Submission Form shall collectively be referred to as the "Entry".

Submissions from Entrants who are under thirteen (13) will not be posted on the Website until satisfactory Guardian consent is provided, as determined at WGBH's sole discretion. All submissions will be screened by representatives of WGBH in order to determine compliance with these Official Rules. Submissions that are not in compliance with these Official Rules will be ineligible to participate in the Contest and will not be posted on the Website.

There is no limit on the number of Entries from any Entrant, but each Entry must be submitted separately. All Entries from a particular Entrant must be unique as solely determined by WGBH. Each Entry will be given a timestamp by the server upon submission. Entries must be received during the Entry Period to be eligible. Entries received before or after the Entry Period and/or those entries that do not conform to these Official Rules, are not eligible. Incomplete or inaccurate Entries are void. Personal information collected in connection with the Contest may be used in accordance with the PBS Kids Privacy Policy, available at http://pbskids.org/privacy/.

By submitting an Entry the Entrant (and such Entrant's Guardian) warrants and represents that the Entry, and their submission thereof to the Contest: (a) does not violate any law, regulation or right of any third party, including but not limited to patent, copyright, trademark, or other intellectual property or sui generis right, (b) does not violate any fiduciary relationship or violate any agreement the Entrant may have, (c) is the sole and original invention/idea/product/design, and has not been published, or submitted in any competition or Contest, and (d) to the extent applicable, does not contain any virus, bugs, or other deleterious material. Each Entrant (and such Entrant's Guardian) hereby agrees to indemnify and hold WGBH harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of Entrant and/or Entrant's Guardian hereunder.

Each Entrant acknowledges that other entrants may submit the same or similar idea /design/entry and/or that WGBH may have received the same or similar idea /design/entry from a third party independent of this Contest or as part of this Contest. Entrant agrees that neither WGBH nor any other party related to this Contest shall have any responsibility or liability for any such submissions in this Contest or from a third party. Entrant (and his or her Guardian) waives any claims or damages of any kind or nature whatsoever, including but not limited to, direct, indirect, incidental, consequential or punitive damages, should WGBH pursue, in any manner, any such submission in this Contest or from a third party.

Once an entry is submitted it is the sole responsibility of the Entrant to maintain as current his/her contact information. WGBH is not responsible for any failure to contact an entrant if their respective contact information is not current. To update contact information, please e-mail designsquad@wgbh.org. By entering, each Entrant (and his or her Guardian) grants WGBH, PBS, and/or their respective assigns and distribution partners, the right to use his or her Entry, in whole or in part, with no compensation due to the Entrant (or his or her Guardian), in perpetuity, in all manner and media, whether now known of hereafter developed including, without limitation, television, radio, cassettes and DVDs (and their packaging), and the Internet. WGBH may also, if applicable, edit and mix the Entries for promotional use Such promotional use may include uploading the Graphic Material to third party websites, which by their terms of use would allow third parties to download and possibly re-use the Graphic Material for other purposes, such as private use and commercial and advertising use.

5. SELECTION OF WINNER:

There will be three (3) phases of winner selection:
(a) Phase 1 is the initial assessment (the "Initial Assessment") of each Entry. The Initial Assessment will evaluate and confirm each Entry's compatibility with the Contest criteria. At all times, and in every instance at the sole discretion of WGBH, any Entrant whose Entry or use of the Website is considered inappropriate in any way, or in any way violates these Official Rules will be immediately disqualified, and his or her Entry shall not be considered. For example, any Entry which imperils, endangers, harms, defames or damages a person, animal or property shall be considered inappropriate.
If an Entry is determined by WGBH as eligible in accordance with the Contest theme and Official Rules, and is received and recorded by the published deadline, then it will be considered an 'eligible' entry and proceed to Phase 2.
(b) Phase 2 is the active evaluation screening (the "Active Screening") of Entries that were deemed eligible following their Initial Assessment. In the Active Screening, a panel of three (3) to five (5) employees of Design Squad Nation (the "Judges") will evaluate each Entry deemed 'eligible' by the Initial Assessment on the following criteria (each a "Criteria") (1) the originality of the Entry; (2) the uniqueness of the Entrant's approach and; (3) the execution of the Entry. For each category the Entrant may receive a total of five (5) points (with zero points the worst score, and five points the best), making the best score possible per Entrant a total of fifteen (15) possible points. Those five (5) Entries receiving the Judges' highest scores in this phase will be posted in an online gallery and proceed to Phase 3..
(c) Phase 3 is the final selection of the winner by public online voting (the "Final Selection") for the five Entries who received the Judges' highest scores in the Active Screening. In the Final Selection, any person who has logged into Design Squad Nation may cast one (1) (and only one) vote for the Contest. The Entry that receives the most online votes will be deemed the winner and featured on the Contest Website (the "Winner").
(d) Employees, officers, directors, directors, trustees and agents, and members of households, whether or not related, and immediate families of WGBH are not eligible to vote. Multiple votes received from any person or email address will be void. Entrants are prohibited from obtaining votes by any fraudulent or inappropriate means, including, without limitation, offering inducements to members of the public, as determined by WGBH in its sole discretion. If WGBH determines, in its sole discretion, that voting appears to have been tampered with or manipulated in any way, WGBH may disqualify such votes or select an alternate Winner. The Judges will not have access to the Entrant's personal information. WGBH and the Judges do not profit in any way from the success of the Winner. Entrant's confidentiality is upheld. Judges' confidentiality is also upheld.

6. PRIZES:

One (1) Winner (the "Winner") will receive a Design Squad Nation activity kit (Estimated Retail Value: $9.99), with the materials to do the following Design Squad Nation hands on activities: Hidden Alarm, Kick Stick, Touch Down, Rubber Band Car, and Pop Fly. .The Prize cannot be transferred, substituted, or redeemed for cash, but WGBH reserves the right to substitute Prize, or a portion of Prize with a prize, or portion or prize of equal or greater value if such Prize or portion becomes unavailable. Taxes on Prize, if any, are solely the responsibility of winner.

7. WINNER NOTIFICATION:

The potential Winner and the winning Entrant's Guardian will be notified via email no later than four weeks after the close of the contest based on contact information provided in entering the Contest, and will be required to accept or decline the Prize and the winning Entrant's Guardian will be required to confirm having given the winning Entrant permission to enter the Contest, and also be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, and where lawful, a Liability/Publicity Release for the potential Winner within the time stated on the notification of winning. Failure to respond to the initial verification e-mail within five (5) business days after transmission to the potential Winner or return of the e-mail notification as undeliverable after two (2) attempts will result in disqualification and award of the prize to an alternate Winner as described below. If the documents described above (Affidavit of Eligibility, Liability Release and Liability/Publicity Release) are not returned by winning Entrant's Guardian in a timely manner, or if the potential Winner is found to be ineligible or otherwise not in compliance with these Official Rules, then the potential Winner and the potential Winner's Entry will be disqualified, all rights to the Prize will be forfeited and an alternate potential Winner selected (entrant with the next most votes). In the event of any dispute concerning the identity of any entrant, the entry will be deemed submitted by the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

8. GENERAL CONDITIONS:

Entrants (and his or her Guardian) hereby: (a) grant to WGBH a non-exclusive, perpetual license to receive, reproduce, distribute, display and otherwise process submitted data, materials and information (including the Graphic Material), and to evaluate same, both in connection with the Contest and outside of the Contest; and (b) agree (i) that WGBH, PBS, PBS member stations, and each of its respective parents, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, trustees, employees, representatives, advisors and agents (individually and collectively "Releasees") are released, will have no liability whatsoever for, and shall be held harmless by Entrants against any liability for any injuries, losses or damages (whether due to negligence or otherwise) of any kind to person(s), including death, or property, or for breach or failure of any representation, warranty or obligation, or for infringement of rights of intellectual property, publicity or privacy, defamation, or portrayal in a false light, resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Contest or any Contest related activities; and (ii) except where legally prohibited, the winning Entrant's Guardian grants (and agrees to confirm that grant in writing) permission to WGBH and those acting under its authority the right to the use, subject to PBS' Privacy Policy(http://www.pbs.org/about/policies/privacy-policy/), the Winner's individual name, picture, likeness, voice, biographical information and statements, and entry (or any part thereof) at any time or times, for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet and World Wide Web, without notice, review or approval.

9. DISCLAIMER OF WARRANTIES/LIABILITY LIMITATIONS:

Releasees are not responsible for lost, late, misdirected, incomplete, or non-delivered entries; or for interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), web site, telephone or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical failure or jumbled, corrupted, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures, or technical errors or difficulties, or other errors of any kind whether human, mechanical, electronic or network or the failure to capture, store, or loss of, any such information. Entrants are expected to, and shall, retain copies of all portions of their entries, and shall not rely on WGBH to retain same. WGBH shall not be responsible for lost or corrupted submission materials. Persons who tamper with or abuse any aspect of this Contest, as solely determined by WGBH, will be disqualified. Any use of robotic, automatic, macro, programmed, third party, or like entry methods will void all such entries by such methods, and disqualify any entrant using such methods. Releasees are not responsible for injury or damage to Entrants' or to any other person's computer related to or resulting from participation in this Contest or downloading or printing materials of any kind from, or for, this Contest, or use of the Website. Should any portion of the Contest be, in WGBH's sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, technical failures or other causes which, in the sole opinion of WGBH, corrupt or impair the administration, security, fairness or proper conduct, or submission of entries, WGBH reserves the right at its sole discretion to suspend, modify or terminate the Contest, and select the winner from entries received prior to action taken or as otherwise deemed fair and appropriate by WGBH. Releasees are not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest, and assume no responsibility for any error, interruption, deletion, defect, delay in operation, or transmission, communications line failure, theft or destruction, or unauthorized use of this Website.

In the event WGBH is prevented from continuing with the Contest by any event beyond its control, including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within WGBH's control (each a "Force Majeure" event or occurrence), WGBH shall have the right to modify, suspend, or terminate the Contest.

10. IMPACT ON INTELLECTUAL PROPERTY RIGHTS:

Each Entrant (and his or her Guardian on his or her behalf) hereby acknowledges and agrees that (a) the Entrant is submitting the Entry voluntarily and WGBH has no obligation to keep any Entry confidential and may in fact publicly disclose, exhibit and distribute any Entry and or information relating to any Entry; (b) any Entry made available on the Website is accessible by the public; (c) any Entry made available on the Website and/or any information relating to any Entry that is otherwise disclosed, exhibited or distributed by WGBH may be deemed a public disclosure under patent, trade secret and other intellectual property laws of the United States and/or one or more foreign territories; (d) any Entry made available on the Website and/or any information relating to any Entry that is otherwise disclosed, exhibited or distributed by WGBH may trigger one or more required filings or deadlines file to protect or perfect intellectual property rights in the Entry (and/or any ideas, inventions, subject matter works and/or other proprietary rights or properties included in or related thereto) and/or may be deemed to release, waive or forfeit intellectual property rights in or related to the Entry that the Entrant may otherwise have retained if such Entry were not made; (e) WGBH is not a legal advisor and has no obligation to protect or provide any guidance or other advice relating to securing intellectual property rights or other protections in any Entry and/or any ideas, inventions subject matter, works and/or other proprietary rights or properties included in or related thereto); and (f) the Entrant is solely responsible for seeking whatever intellectual property rights protections the Entrant deems appropriate with respect to any Entry (and/or any ideas, inventions, subject matter, works and/or other proprietary rights or properties included in, or related thereto) and hereby releases WGBH from any and all claims and liability with respect thereto.

11. NO OBLIGATION TO USE:

WGBH shall have no obligation (express or implied) to use any Entry, or to otherwise exploit any Entry or, if commenced, to continue the distribution or exploitation thereof, and WGBH may at any time abandon the use of any Entry for any reason with or without legal justification or excuse, and Entrants shall not be entitled to any damages or other relief by reason thereof.

12. FURTHER DOCUMENTATION:

If WGBH shall desire to secure additional assignments or other documentation for an Entry or other documents as WGBH may reasonably require in order to effectuate the purposes and intents of these Official Rules, then each Entrant (and his or her Guardian) agrees to sign the same upon WGBH's request therefore.

13. GOVERNING LAW/JURISDICTION:

All disputes arising hereunder or in relation to the Contest and/or the Prize, shall be brought solely and exclusively in the United States District Court in Boston, Massachusetts or the appropriate Massachusetts State Court located in Suffolk County, Massachusetts and Entrant hereby consents to the jurisdiction of such courts and waives any defense of inconvenient forum.

14. WINNER LIST:

For the name of the Winner (Entrant's name), mail a first class self-addressed stamped envelope to: WGBH, ATTN: Design Squad Nation "Penny Bridge" Contest Winners; One Guest Street Boston, MA 02135. All such requests must be received by October 5, 2012 The name of the Winner will also be posted on the Website.
